By purchasing a subscription to SimTrade ("the Service"), you ("User", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and SimTrade ("Company", "we", "us", or "our").

2. Subscription Services

2.1 Service Description

SimTrade provides AI-powered trading simulation, analysis tools, and market intelligence. All services are provided on a subscription basis with the following tiers:

• Starter (Free): Basic paper trading and community access
• Pro ($29/month or $199/year): AI Strategy Coach, Prediction Markets, and API Access
• Premium ($49/month or $349/year): Advanced tools including Whale Analysis, Portfolio Optimization, and 24/7 Monitoring

2.2 Billing and Payment

Subscriptions are billed in advance on a monthly or annual basis. Payment is processed through Stripe. By subscribing, you authorize us to charge your payment method for the selected plan.

• Monthly subscriptions renew automatically on the same day each month
• Annual subscriptions renew automatically on the anniversary of your purchase
• All fees are in USD and non-refundable except as required by law
• You are responsible for all applicable taxes

2.3 Free Trial and Promotional Offers

We may offer free trials or promotional discounts. If you do not cancel before the trial period ends, you will be automatically charged for the subscription. Promotional offers are subject to specific terms and cannot be combined unless explicitly stated.

The content on this platform is produced by AI algorithms including but not limited to: OpenAI GPT models, Google Gemini, Anthropic Claude, and other third-party AI services. No human financial advisor, analyst, or expert has reviewed, endorsed, or approved any recommendations made by our AI systems.

3.2 Not Financial, Investment, or Trading Advice

SIMTRADE DOES NOT PROVIDE FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY PROFESSIONAL SERVICES.

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT SIMTRADE, ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY LOSSES, DAMAGES, OR EXPENSES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO:

• Financial losses from trading or investment decisions
• Losses resulting from following AI-generated recommendations
• Missed trading opportunities or market timing errors
• Inaccurate predictions, analysis, or market data
• Technical failures, downtime, or service interruptions
• Unauthorized access to your account or data breaches
• Third-party platform failures (Polymarket, Hyperliquid, Kalshi, etc.)

4.2 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

4.3 Trading Risks

You acknowledge that:

• Trading and investing involve substantial risk of loss
• You may lose some or all of your invested capital

5. User Responsibilities

• Comply with all applicable laws and regulations in your jurisdiction

5.2 Account Security

You are responsible for:

• Notifying us immediately of any unauthorized access
• Using strong passwords and enabling two-factor authentication

6. Refund and Cancellation Policy

6.1 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access until the end of your current billing period
• Automatic renewal will be disabled
• No refund will be provided for unused time in the current period
• Unused credits will be forfeited upon subscription expiration

6.2 Refund Policy

We offer a 7-day money-back guarantee for first-time subscribers. If you are not satisfied within 7 days of your initial subscription, contact support@simtrade.com for a full refund. After 7 days, all payments are non-refundable.

6.3 Our Right to Terminate

We reserve the right to terminate your account if you:

• Violate these Terms
• Engage in fraudulent or abusive behavior
• Attempt to reverse-engineer or scrape our platform
• Use the service for illegal purposes
• Share your account credentials with others

7. Intellectual Property

All content, software, code, designs, logos, and trademarks on SimTrade are the exclusive property of SimTrade or its licensors. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Third-Party Services

SimTrade may integrate with third-party platforms (Polymarket, Hyperliquid, Kalshi, etc.). We are not responsible for:

• The availability, security, or performance of third-party services
• Losses resulting from third-party platform failures
• Changes to third-party terms of service or APIs
• Your compliance with third-party platform rules

9. Data and Privacy

Your use of SimTrade is also governed by our Privacy Policy. By subscribing, you consent to our collection, use, and disclosure of your personal information as described in the Privacy Policy.

10. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Guarantees of accuracy, completeness, or reliability of content
• Assurances of uninterrupted or error-free service
• Promises of specific trading results or profitability

11. Indemnification

You agree to indemnify and hold harmless SimTrade, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your trading decisions or investment losses
• Your violation of any law or third-party rights

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.2 Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to a jury trial or to participate in a class action lawsuit.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or through the platform. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
